We are interested in upgrading our file server to take advantage of
Windows 2003's Shadow Copy. We'd like to just upgrade that server and
not the 2 Win2000 Domain Controllers.
Are there any issues with having a Windows 2003 member server in a
Windows 2000 domain?

Short answer: You can join a Windows Server 2003 member server to a Windows
2000 Server-based domain without any modifications. :)
