With ntfs there is no ability to set passwords on the folders themselves.
You can create user accounts that have passwords of course and then assign
appropriate permissions to users/groups for access to folder thereby
controlling access. Keep in mind that anyone in the administrators group can
give himself permissions to a folder that he does not have permissions to,
so it is important to give administrator membership to only a minimum amount
of totally trusted users. See the link below on ntfs permissions. It is for
XP but it mostly applies to W2K as well. --- Steve
